PLEASE READ THESE TERMS CAREFULLY. SECTION 18 CONTAINS AN ARBITRATION AGREEMENT, AN INDIVIDUAL-ACTION REQUIREMENT, AND PROCEDURES FOR OPTING OUT. SECTION 7 EXPLAINS AUTOMATIC SUBSCRIPTION RENEWAL AND CANCELLATION.

1. Parties, acceptance, and definitions

These Terms & Conditions ("Terms") form an agreement between GoLuly, LLC, a Florida limited liability company ("GoLuly," "we," "us," or "our"), and the individual or legal entity accepting them ("Customer," "you," or "your"). They govern use of goluly.com, its subdomains, associated applications, APIs, and the services made available through them (the "Services").

By registering, clicking to accept, purchasing a plan, or accessing the Services after valid notice and assent, you agree to these Terms and our Privacy Policy. If you act for a company or another entity, you represent that you are authorized to bind it; that entity is the Customer, and its authorized users must comply with these Terms. If you do not agree, do not use the Services.

An "Account Owner" is the person or entity responsible for a GoLuly account or workspace and its subscription. "Authorized Users" are individuals granted access by the Account Owner or its administrators. "Customer Content" means information, files, records, prompts, and materials submitted to or stored in the Services by or for a Customer. "AI Output" means content produced through an AI feature in response to an authorized request. "Connected Account" means a Stripe Connect account used by a Customer to accept payments from that Customer's own buyers or clients ("End Customers").

2. Eligibility and accounts

The Services are for individuals 18 years or older with legal capacity to contract. You must provide accurate registration and payment information, keep credentials secure, and promptly report suspected unauthorized access. You are responsible for activities conducted under your Account and by your Authorized Users, except to the extent attributable to GoLuly's own acts or omissions for which liability cannot lawfully be excluded.

An Account Owner may invite internal team members, allocate access rights, review workspace activities, remove users, and administer Customer Content. An employer or organization may access, manage, and delete information within its workspace consistent with its permissions and applicable law. External clients are not granted direct workspace membership through the standard product. An Authorized User who leaves an organization may lose access to that organization's records. Business customers are responsible for the legal rights and notices relating to data uploaded by their personnel.

3. The Services and future functionality

The Services may include project and task management, CRM and sales records, proposals, contracts, invoicing, payment collection, file storage, analytics, AI assistance, Google/Outlook calendar synchronization, third-party integrations, and APIs, subject to the particular plan and feature availability. Service descriptions do not create a promise to deliver an unpurchased feature or to maintain every feature indefinitely.

Autonomous AI agents are planned and are not promised as an available capability under these Terms. If introduced, they may require separate permission settings, fees, safeguards, or supplemental terms. Preview or beta features may be modified, suspended, or withdrawn and may have additional limitations disclosed at activation.

GoLuly grants you a limited, nonexclusive, nontransferable, revocable right, during your valid subscription or permitted free access, to use the Services for lawful personal or internal business purposes in accordance with your plan and these Terms. No software ownership transfers to you.

4. Customer Content, privacy, and data rights

As between GoLuly and Customer, Customer retains ownership and control of Customer Content and is responsible for its accuracy, legality, permissions, and availability for processing. Customer grants GoLuly and its subprocessors a limited, worldwide right to host, transmit, display, transform, back up, and otherwise process Customer Content only as reasonably required to provide, secure, support, and maintain the Services, honor authorized feature requests and integrations, comply with law, and perform related obligations. This license ends when its legitimate purpose and applicable retention obligations end.

Customer represents that it has the necessary rights and lawful basis to collect, upload, transmit, and instruct GoLuly to process Customer Content, including other people's personal information. Customer is responsible for issuing required privacy notices, obtaining required consents, handling its own client relationships, and responding to legal requests for information it controls. Where the parties sign a data processing agreement (DPA), that DPA controls to the extent of a conflict regarding covered personal-data processing.

GoLuly may produce and use properly de-identified or aggregated performance and usage information for service improvement, security, capacity planning, and analytics, without attempting to reidentify it and subject to applicable law. GoLuly will not train generalized AI models on identifiable Customer Content or use identifiable private documents and CRM records for unrelated targeted marketing without separately obtaining the legally necessary authorization. See our Privacy Policy for details.

5. Intellectual property, AI Output, and feedback

GoLuly and its licensors retain all rights in the Services, software, designs, interfaces, documentation, APIs, trademarks, technical methods, and underlying AI technology. No right is granted except as expressly stated. Subject to applicable law, third-party rights, and the permissions needed to operate the Services, GoLuly assigns to Customer any rights GoLuly may have in AI Output generated specifically for Customer. AI Output may not be eligible for copyright protection, may not be unique, and may resemble material produced for others. GoLuly does not warrant exclusivity, originality, or freedom from third-party claims for AI Output.

If you voluntarily give us product suggestions or feedback, you grant us a perpetual, worldwide, royalty-free right to use that feedback for legitimate product and business purposes without identifying you publicly, subject to applicable privacy and confidentiality obligations.

6. AI assistance, human approval, and restricted uses

AI features use Google Gemini/Vertex AI and can generate summaries, text, suggestions, analyses, or proposed actions. AI may make mistakes, omit important information, rely on inaccurate input, or produce inappropriate or noncompliant results. All consequential AI Output must be reviewed by a suitably qualified human before reliance or use. You are responsible for evaluating outputs, complying with applicable laws, and approving any task that changes records, communicates externally, initiates transactions, or otherwise affects people or businesses. Current AI-assisted task execution requires human approval.

Do not use the Services or AI Output to perform unlawful, fraudulent, discriminatory, deceptive, or harmful acts; to impersonate others; or to make solely automated consequential decisions about employment, credit, housing, insurance, education, healthcare, or legal rights without all legally required protections and GoLuly's express authorization. The Services are not clinical medical devices, emergency-response systems, or substitutes for qualified medical, legal, tax, investment, or other regulated professional advice. Clinical medical diagnosis, treatment decisions, and uses requiring unfulfilled regulatory approvals are prohibited. For other professional workflows, the qualified professional and Customer remain responsible for independent judgment and legal compliance.

You may not use AI capabilities in a manner prohibited by the applicable Google Cloud generative AI terms, our acceptable-use restrictions, or law. To the extent permitted by law, GoLuly disclaims responsibility for losses caused by unreviewed or unauthorized reliance on AI Output, but nothing in these Terms excludes liability that cannot lawfully be excluded.

7. Plans, trials, subscription fees, and automatic renewal

GoLuly may offer free tiers, limited trials, monthly or annual subscriptions, seat-based plans, AI or API usage allowances, and separately priced features or usage. The applicable checkout or order screen must disclose the actual price, billing interval, trial length (if any), usage allowances, taxes and extra charges, automatic-renewal terms, and cancellation method before payment authorization. That displayed order information forms part of these Terms. These Terms do not establish a charge for a feature that has not been priced and accepted.

Paid plans renew automatically for successive periods equal to the selected billing term unless canceled before the next charge, as clearly disclosed at checkout. By affirmatively accepting an automatically renewing plan, you authorize GoLuly and Stripe to charge the authorized payment method at the disclosed recurring interval. A free trial will convert into a paid plan only if the conversion terms and price were clearly disclosed and you gave the required affirmative authorization. We will provide purchase confirmations, renewal notices, reminders, and other disclosures where law requires them.

You may cancel recurring billing through the online subscription or billing controls in your account, without being required to call us. Unless a mandatory law, special offer, or written order provides otherwise, cancellation prevents the next renewal and paid features remain available through the end of the current paid term. Payments already made are nonrefundable and unused periods or credits are not prorated, except where required by law, expressly promised in an order, or granted at our discretion. A cancellation is not the same as an immediate request to erase all account data.

An Account Owner may elect an upgrade or other plan change. Any prorated upgrade amount, new recurring charge, or usage-based rate must be presented before the change is confirmed. GoLuly will not impose a higher price during an existing paid term merely by changing a price list; a price change outside an accepted upgrade ordinarily takes effect for a future renewal after any required notice and consent. We may change free-tier features and future plan prices with appropriate notice.

8. Stripe billing and Stripe Connect transactions

GoLuly subscription payments. Stripe processes payments for the GoLuly Services. GoLuly is the supplier of its own subscriptions. You authorize applicable charges and agree to maintain a valid payment method. Stripe's separate terms and privacy disclosures may apply to your payment information.

Payments accepted by GoLuly Customers. If you activate Stripe Connect to receive payment from your End Customers, your Connected Account—not GoLuly—is intended to be the merchant of record for the products and services that you sell. You are the party selling, invoicing, fulfilling, and supporting those products and services; your End Customer's purchase contract is with you, not GoLuly. You must ensure that checkout information, invoices, receipts, statement descriptors, and Stripe configuration identify the correct merchant of record. This allocation applies only where the actual payment configuration and transaction presentation support it, and it does not override applicable law or GoLuly's obligations to Stripe.

The Connected Account is responsible, as applicable, for its onboarding, verification, beneficial ownership disclosures, financial services compliance, lawful transactions, product descriptions, delivery, sales and other taxes, refunds, chargebacks, disputes, evidence submission, and payment-related customer service. Stripe's processing and connected-account fees are borne by the Connected Account under its Stripe arrangement. Any amount the merchant seeks to pass through to an End Customer must be clearly disclosed and lawful. GoLuly does not currently charge a separate Connect application or transaction fee; if we introduce one later, we will disclose its amount and effective date prospectively before it applies.

Stripe controls payment authorization, funds movement, payout schedules, risk decisions, holds, reversals, and supported methods under its agreements. GoLuly is not a bank, custodian, escrow agent, or guarantor of customer payments, and does not independently promise settlement or payout timing. Where Stripe or law makes GoLuly responsible for any part of a payment flow, these Terms do not extinguish that responsibility; to the extent lawful, a Connected Account must reimburse GoLuly for amounts caused by its own transactions, breaches, refunds, fraud, disputes, or failure to meet merchant obligations, except to the extent caused by GoLuly's wrongful conduct. Connected-account onboarding and payment availability may be limited by jurisdiction and Stripe eligibility.

9. Customer restrictions and acceptable use

You and your Authorized Users must not: (a) use the Services in violation of law or third-party rights; (b) upload malware or harmful code; (c) attempt to gain unauthorized access or defeat security measures; (d) engage in fraud, phishing, spam, impersonation, harassment, or deceptive conduct; (e) scrape, overload, interfere with, or reverse engineer the Services except where mandatory law permits; (f) resell access or share credentials outside permitted seats; (g) collect or disclose personal information without the necessary authority; (h) use the Services for prohibited weapons, criminal transactions, or other unlawful commerce; (i) upload regulated data that would require special legal or technical safeguards unless GoLuly has expressly agreed in writing to support it; or (j) circumvent payment, rate, or AI usage limits.

We may investigate suspected breaches and restrict features or accounts as reasonably necessary to prevent harm or satisfy law, subject to any legally required process.

10. Integrations, APIs, and third-party services

Integrations with Stripe, Google, Microsoft/Outlook, and other providers are optional, subject to availability and the provider's separate terms, permissions, policies, and technical limits. By connecting a service, you authorize GoLuly to exchange the information reasonably necessary for the selected integration. You are responsible for configuring scope and access and for reviewing third-party privacy terms.

Third-party platforms may change, fail, suspend access, impose rates, or discontinue interfaces beyond our control. GoLuly will use commercially reasonable efforts to maintain its own integration components but does not warrant the availability, correctness, security, or uptime of a third-party system, nor accept liability for that provider's independent acts to the extent permitted by law. We may suspend an integration where necessary to comply with law, provider requirements, security, or platform integrity.

11. Availability, support, and security

GoLuly uses Google Cloud infrastructure and employs encryption at rest and in transit, multifactor authentication capabilities, role-based access controls, audit logging, and other security safeguards. We will use commercially reasonable efforts to maintain the Services, protect Customer Content, and address material incidents, with legally required incident notification.

No fixed GoLuly-wide uptime percentage, 24/7 support response time, or Google Cloud-equivalent service credit is promised unless a separate written service-level agreement expressly provides it. Google Cloud service-level commitments apply to Google's specified services and configurations, not automatically to the complete GoLuly application. Maintenance, incidents, network dependencies, abusive traffic, and third-party integrations may affect availability. You should maintain appropriate independent exports or backups for mission-critical information.

12. Suspension, termination, and data export

You may stop using the Services or cancel renewal as described in Section 7. We may suspend paid functionality after an unsuccessful charge or overdue balance, ordinarily with reasonable notice and an opportunity to update billing information where practicable. We may act immediately if reasonably necessary to address fraud, unlawful activity, significant security risks, or substantial misuse.

On termination, your license ends and access may cease. An Account Owner may contact Support through their GoLuly account to request available exports or deletion, subject to verification of identity and authority, applicable law, and legitimate retention requirements. Retention varies by record type as described in Section 9 of the Privacy Policy. Closing an account does not automatically erase all information; restricted backup and versioned copies may remain after removal from active systems. Suspension or termination does not limit applicable privacy rights or statutory response deadlines.

Provisions that by nature should survive—including accrued payment obligations, intellectual property, disclaimers, liability limits, dispute resolution, and lawful retention—survive termination.

13. Disclaimers

EXCEPT FOR EXPRESS COMMITMENTS IN THESE TERMS, A SIGNED ORDER, OR MANDATORY LAW, THE SERVICES, AI FEATURES, INTEGRATIONS, AND OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, GOLULY DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT GUARANTEE PARTICULAR REVENUE, LEAD CONVERSION, COLLECTIONS, LEGAL COMPLIANCE, PROFESSIONAL OUTCOMES, OR RESULTS FROM AI.

Nothing in these Terms eliminates statutory warranties or remedies that cannot legally be waived. We do not warrant the conduct or services of independent customers, merchants, connected-account holders, or third-party providers.

14. Limits on liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE TO THE OTHER FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOSS OF BUSINESS OPPORTUNITY, OR LOSS OF DATA, ARISING FROM THE SERVICES, EVEN IF ADVISED THAT SUCH DAMAGES WERE POSSIBLE; THIS EXCLUSION DOES NOT APPLY TO THE EXTENT PROHIBITED BY LAW.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GOLULY'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES IN ANY TWELVE-MONTH PERIOD WILL NOT EXCEED THE GREATER OF (A) THE FEES PAID OR PAYABLE TO GOLULY FOR THE SERVICES DURING THE TWELVE MONTHS BEFORE THE EVENT FIRST GIVING RISE TO THE CLAIM, OR (B) US$100. THIS CAP DOES NOT APPLY TO LIABILITY THAT CANNOT LEGALLY BE LIMITED, INCLUDING WHERE APPLICABLE FRAUD, WILLFUL MISCONDUCT, GROSS NEGLIGENCE, OR STATUTORY REMEDIES THAT THE LAW PROHIBITS CAPPING.

These limits allocate risk between the parties and apply regardless of the legal theory, subject to applicable consumer laws and mandatory protections. They do not limit your obligation to pay amounts validly owed or a Connected Account's independently incurred payment obligations to Stripe or End Customers.

15. Indemnification by business customers

If you use the Services on behalf of a business, you will defend and indemnify GoLuly, its affiliates, and personnel against third-party claims, reasonable costs, and damages arising from (a) Customer Content that infringes rights or violates law; (b) your products, services, representations, and End Customer relationships; (c) your payment transactions, refunds, chargebacks, taxes, or merchant noncompliance; or (d) your material breach of these Terms, in each case except to the extent caused by GoLuly's negligence, misconduct, or breach of its own obligations. We will provide reasonably prompt notice, allow you to control the defense with qualified counsel, and cooperate reasonably; you may not settle a claim imposing an admission or nonmonetary obligation on GoLuly without our consent, not to be unreasonably withheld. This section does not impose a general contractual indemnity on an individual solely using the Services for personal purposes.

16. Changes to Services and Terms

We may improve, modify, or retire features, provided we do not materially deprive a paid Customer of the core purchased Services during a prepaid term without an appropriate remedy required by law or agreement. We may update these Terms prospectively. For material changes, we will provide reasonable notice and obtain renewed assent where legally required. Continued use after a properly notified effective date may constitute acceptance where enforceable; we will not retroactively change accrued payment terms or deprive customers of statutory rights.

17. Notices, governing law, and general terms

GoLuly may deliver routine contractual notices through the Services, to the contact information supplied in your account, or by other legally adequate means. You must keep that information current. Legal and privacy requests can be submitted through Support in your GoLuly account.

Florida law governs these Terms, without regard to its choice-of-law rules, except where preempted by the Federal Arbitration Act ("FAA") or superseded by mandatory consumer protections in your jurisdiction. For matters not subject to arbitration, the state or federal courts located in Florida will have jurisdiction to the extent lawful, without limiting nonwaivable consumer venue rights.

These Terms, the applicable accepted order, any executed DPA, and any feature-specific terms constitute the agreement regarding the Services. If they conflict, a signed order controls pricing and purchased services; a DPA controls covered personal-data processing; and Stripe's governing agreements control Stripe's payment processing rights and obligations as between their parties. Neither party is responsible for delay caused by events beyond its reasonable control, except payment obligations. If any term is unenforceable, the remainder remains effective to the extent lawful. Failure to enforce a right is not a waiver. Neither party may assign these Terms without consent, except GoLuly may assign them as part of a merger, reorganization, or sale of substantially all related assets with appropriate protections. No partnership, employment, agency, or fiduciary relationship is created merely by using the Services.

18. Individual arbitration agreement and class action waiver

READ THIS SECTION CAREFULLY. To the extent enforceable under applicable law, you and GoLuly agree to resolve disputes arising from or relating to these Terms or the Services through binding individual arbitration, rather than a court proceeding before a judge or jury, after first attempting informal resolution. The FAA governs interpretation and enforcement of this arbitration agreement.

Informal process. Before arbitration, a claimant must send a written description of the dispute and requested relief through Support in your GoLuly account. The parties will attempt in good faith to resolve the matter for 30 days after receipt, unless a longer period is required by law or mutually agreed.

Administrator and rules. If unresolved, disputes will be administered by the American Arbitration Association ("AAA") under its then-applicable Consumer Arbitration Rules for eligible individual consumers and Commercial Arbitration Rules for business-to-business disputes, subject to the rules' mandatory protections. Hearings may occur by videoconference or telephone where allowed and appropriate. Fees are allocated under the applicable rules and mandatory law; a consumer will not be required to pay arbitration fees that applicable law prohibits. The arbitrator may award the relief available under applicable law on an individual basis and shall provide a reasoned award upon request where required by the rules.

Exceptions and protected rights. Either party may bring an eligible individual claim in small-claims court. A party may seek provisional judicial relief to protect intellectual property, confidential information, or security pending arbitration where permitted. Nothing here prevents reporting concerns to regulatory authorities or seeking public injunctive relief where the right to do so cannot lawfully be waived.

Individual proceedings. To the extent lawful, claims must be brought in an individual capacity only, and not as a class, collective, consolidated, or representative proceeding. If a court determines that a particular request for relief cannot lawfully be arbitrated individually, that request will proceed in an appropriate court while arbitrable claims remain in arbitration, to the extent permitted by law.

Thirty-day opt-out. You may opt out of this arbitration agreement by sending a written notice clearly stating your name, GoLuly account identifier, and desire to opt out, through Support in your GoLuly account within 30 days after first accepting these Terms. Opting out of arbitration does not terminate the remaining Terms.

19. Contact

Questions, contractual notices, privacy requests, and arbitration opt-out notices may be directed to Support via your GoLuly account.

Supplement: Account registration

Provide accurate personal and billing details. For a Business account, you must be authorized to act for that business. Keep your sign-in methods and verified phones secure.

SMS verification is required for sign-in. Create a four-digit recovery PIN in Sign-in security. If you lose access to your phone, contact Support via your GoLuly account for a reviewed recovery process; your PIN alone cannot restore access. Registration does not start a free trial or payment, and product access requires activation.

GoLuly is currently available in the United States. Stripe payments and Plaid financial connections are not activated by registration.
